This Agreement is made between Calligraphy By Phuong (“CBP”, “we”, “us”) and the Client (“you”). These terms ensure that the artistry and quality of your bespoke stationery are protected from start to finish.

By paying your invoices, you agree to the following terms:

1. Booking & Payment

• First invoice: A non-refundable deposit equivalent to the full design fee is required to confirm your order. Please note that CBP is a full-service studio; design services are not sold separately from production.

• Second invoice: Payment equivalent to the full production cost is due once the final digital proof has been approved.

• Last invoice: Exact shipping costs will be calculated and shared with you prior to delivery.

• All invoices are due within 7 calendar days of issue unless otherwise agreed in writing.

• All prices are quoted in USD unless otherwise stated.

2. Scope of Work

• CBP will provide bespoke calligraphy and stationery services as agreed in the project quotation.

• Any changes to the original brief requested by the Client must be agreed upon in writing and may result in additional charges and revised timelines.

• Delays in feedback or approval from the Client may result in adjusted delivery timelines.

3. Design Approval & Revisions

• Digital proofs will be provided for approval prior to production. The design fee includes up to two (2) rounds of digital revisions. Any further revisions or a complete change in design direction after the second proof will be charged USD 50 per artwork per round.

• The Client is responsible for thoroughly checking all details, including spelling, grammar, names, dates, and design layout.

• Once approved, CBP cannot accept liability for any errors.

4. Intellectual Property & Exclusive Production

• Ownership: All calligraphy, illustrations, layouts, and digital files created by CBP remain the sole intellectual property of CBP.

• Integrated Service: Our design and production services are non-severable. CBP does not offer "design-only" services, and high-resolution, print-ready digital files will not be released to the Client or any third-party vendors.

• Production Exclusivity: All designs created by CBP must be produced and printed exclusively by our studio. The Client is strictly prohibited from taking CBP’s design proofs, concepts, or final layouts to be produced, printed, or manufactured by any other provider (local or international).

• Limited License: Upon full payment, the Client is granted a non-commercial license to use the physical stationery items solely for their intended private event.

• Unauthorized Use: Any unauthorized reproduction, scanning, or digital manipulation of our designs for third-party production is a breach of this Agreement and a violation of copyright law.

5. What Constitutes a Defect

• Handwritten items & handmade paper: Natural variations in paper texture, ink flow, colour, brushstroke, or alignment are not considered defects.

• Legitimate defects are limited to clear damage, incorrect wording not approved by the Client, or production errors that deviate from the signed-off design.

• In the case of a legitimate defect, CBP will, at its discretion, repair, replace, or refund the affected item.

6. Complaints & Timeframes

• Complaints must be submitted in writing within 7 calendar days of delivery or collection.

• After this period, the order will be deemed accepted.

7. Delivery, Mailing Services & Liability

• Shipping and Delivery: We provide international delivery through DHL Express and domestic delivery within Vietnam via Viettel Post or Grab Express.

• Carrier Liability: CBP is not liable for delays caused by customs clearance, carrier strikes, or weather-related issues. While we provide tracking, the risk of loss passes to the Client once the shipment is handed to the courier.

• International Orders: Orders shipped outside Vietnam may be subject to customs duties, import taxes, or local fees. These are the sole responsibility of the recipient.

• Mailing Services: We do not offer mailing or postage services to your end guests. Once goods are delivered to the Client, CBP is not responsible for issues arising from the Client’s chosen postal service.

8. Cancellations, Rescheduling & Postponement

• If the Client cancels, the deposit is non-refundable.

• If cancellation occurs after production has begun, the Client remains liable for all costs incurred.

• Postponements or rescheduling must be agreed upon in writing. Price variations may apply due to new material or labour costs.

9. Variations & Price Changes

• Quotes are valid for 30 days from the date of issue.

• Significant changes to the project scope, timing, or quantity may result in revised pricing & timeline.

10. Use of Images for Marketing

• CBP reserves the right to photograph and use images of completed work for marketing, portfolio, and social media purposes.

• Client names and sensitive event details will not be disclosed without permission.

11. Data Protection

• Data provided by the Client will be used solely for fulfilling the order and will be handled securely. It will not be shared with third parties except as necessary for delivery.

12. Liability

• Our total liability to the Client shall not exceed the value of the contract.

• We are not liable for indirect or consequential losses, including emotional distress or event cancellation costs.

13. Force Majeure

• Neither party is liable for failure or delay due to circumstances beyond reasonable control (including pandemics, epidemics, government restrictions, natural disasters, strikes, or supply chain issues).

• In such cases, both parties will work in good faith to reschedule or fairly resolve outstanding obligations.

14. Governing Law

• This Agreement shall be governed by and construed in accordance with the laws of Vietnam. Any disputes arising from this agreement shall be subject to the exclusive jurisdiction of the courts in Ho Chi Minh City, Vietnam.
